Set up an ApS – how it works
ApS formation follows a fixed process. The difference is who handles the work for you.
At Flexum we offer two paths when you want to set up an ApS.
The first path is free formation via Lunar and The Ramp. We can offer this because Lunar pays the case handling at The Ramp when you choose Lunar Business as your business bank. That means you avoid the normal formation service fee, which can typically cost up to DKK 2,000.
The second path is classic lawyer-led formation via Simple Law. Here you pay a fixed, low price for professional handling of the formation – with no requirement to choose a specific bank.
It is important to understand three things:
First: "Free" means free service. You still need to pay the mandatory costs – including the registration fee to the Danish Business Authority of DKK 670 and share capital of at least DKK 20,000.
Second: To get free service formation you must apply via our specific Lunar partner page. Otherwise the discount will not apply.
Third: Lunar must approve you as a business customer. Not all companies are approved. That is why the Simple Law option is ready as an alternative, even if you do not want to use Lunar as your bank.

FAQ – Set up an ApS
What does it cost to set up an ApS?
You must always pay the registration fee to the Danish Business Authority (DKK 670) and deposit a minimum of DKK 20,000 in share capital. Flexum service costs DKK 0 via Lunar + Virtual Office, DKK 595 via Simple Law with Virtual Office, or DKK 975 without Virtual Office.
What is the difference between an ApS and a sole proprietorship?
A sole proprietorship does not require share capital, but you are personally liable for obligations. An ApS requires a minimum of DKK 20,000 in capital and provides limited liability and a more professional company structure.
Can you set up an ApS without capital?
No. An ApS requires a minimum of DKK 20,000 in share capital at incorporation. You do not necessarily need the full amount in cash – there are several legal ways to meet the capital requirement.
How do I get a CVR number?
You receive a CVR number when the company is registered in the Danish Business Register. Through Flexum, The Ramp (Lunar path) or Simple Law handles submission and registration for you.

How long does it take to set up an ApS?
Typically from a few days to a couple of weeks – depending on how quickly you submit documentation, whether Lunar approves you as a business customer, and how long the Danish Business Authority takes to process registration.
What if I do not want Lunar?
You can choose the Simple Law option instead. Here you pay a fixed price (DKK 595 with Virtual Office or DKK 975 without) for professional lawyer-led formation – with no requirement to choose a bank.
What happens if Lunar rejects my application?
You can still set up an ApS via Simple Law. Lunar approval is only required for free formation via the Lunar path – the Simple Law option has no requirement for bank approval.
Do I need a Virtual Office?
Virtual Office is required for free formation via the Lunar path. For the Simple Law option from DKK 595 you need at least 6 months of Virtual Office. Without Virtual Office you can still set up an ApS via Simple Law for DKK 975.
Can I use my private address as my business address?
Yes, it is legal to use your home address for CVR registration – but the address becomes public in the CVR register. Many choose Virtual Office to protect privacy and appear more professional.
Which documents do I need?
You typically need to submit ID, proof of address, and documentation of beneficial owners as part of KYC checks. With Flexum, documentation is submitted digitally via Penneo as part of the application process.
What happens after the ApS is registered?
You receive a CVR number and can start invoicing. Virtual Office is activated once the company is registered. You should then consider a business account, bookkeeping, and whether the company needs VAT registration.
